Associação das Empresas de Outsourcing de Portugal (hereafter referred as Associação Portugal Outsourcing)

CHAPTER I
GENERAL DISPOSITIONS

Article 1
(Denomination, Registered Office and Duration)
1. PORTSOURCING - Associação das Empresas de Outsourcing de Portugal is a legal entity, non-profit independent association, founded for an unlimited duration.
2. The association will operate with headquarters at Avenida Vinte e Quatro de Julho, number fifty-four, third floor right, Santos-o-Velho parish, in Lisbon. The Board may constitute delegations when or where it decides to be adequate, both in Portugal and abroad.


Article 2
(Goals)
1. The non-profit Associação Portugal Outsourcing aims to contribute to the Portuguese outsourcing sector development, understood as BPO offering added-value and making use of information and communication technologies, namely through spreading information, promoting best practices, dynamising the discussion of relevant issues for the sector evolution and supporting the development of strategic studies about the subject.
2. Associação Portugal Outsourcing shall encourage national and international cooperation, and also cooperate in programs and projects with other organizations of similar purposes.
3. For the purpose of pursuing its objectives, Associação Portugal Outsourcing has the capacity and full power to:
(a) publish newsletters related to its goals and activities;
(b) promote, develop and publish studies and projects;
(c) promote, organize and / or participate in meetings, seminars, conferences, workshops or training activities;
(d) raise loans, grants or other financing solutions, as well as to apply for grants and contributions in view of any of its purposes;
(e) provide guarantees and surety bonds over their assets to guarantee loans and assumed responsibilities;
(f) establish collaboration protocols with public and private entities;
(g) provide services or promote activities related to the Association's goals.

CHAPTER II
MEMBERS

Article 3
(Members)
1. Membership is open to all entities, either individuals or groups, to be named Business Members, since they develop their activity in BPO area and reveal added-value and the use of information and communication technologies, support the goals and objectives of Associação Portugal Outsourcing and also fulfill all admission criteria established by the Members Internal Admission Regulation to be approved by the General Assembly upon the Board's proposal.
2. Membership is also awarded to some Honorary Members, either individuals or groups, that have made major contributions towards the development of activities having in view the objectives of the Associação Portugal Outsourcing or will be able to contribute significantly to pursuit those goals, support its aims and objectives and also fulfill all admission criteria established by the above mentioned Members Internal Admission Regulation.
3. Members must contribute with an Admission Fee and other dues, being the amount and payment periodicity annually determined by the General Assembly upon the Board's proposal.


Article 4
(Members Admission)
The admission of new Members must be approved by the Board, in accordance with the Members Internal Admission Regulation quoted in the preceding article, upon proposal made by one member of the Board.
