CODE OF CONDUCT INTERNAL REGULATION

PORTSOURCING - Associação das Empresas de Outsourcing de Portugal (hereafter referred as Portugal Outsourcing) was constituted last September 2008.

One of the main priorities of Portugal Outsourcing is to contribute towards improving practices and developing outsourcing services in Portugal, thus establishing, through the present Code of Conduct, the principles that should regulate the activity of Portugal Outsourcing Associate Companies (henceforth named "Business Members").


CHAPTER II
Principles and Duties

Article 3
(Conduct Duties)
1. Business Members shall rule their activity according to the highest ethical and professional standards.
2. Decisions taken by Business Members as part of an outsourcing Project must take into account the business interests of the Customer, within the agreed contractual framework.


Article 4
(Duty of Transparency)
Business Members shall not tolerate or participate in any form of corruption or bribery, including payments or other benefits to governmental or non-governmental responsibles, aiming to influence decisions for their own benefit and consequent law failure.


Article 5
(Customer Relationship)
1. By getting involved in outsourcing projects, Business Members must consider whether they have the experience, technical knowledge and adequate means to the project’s success.
2. For the purpose of the preceding paragraph, Business Members shall obtain, in the pre-contractual phase, a precise and comprehensive knowledge of customer requirements.
3. Business Members shall also provide outsourcing services honestly and seriously, keeping in view the protection of their reputation and image, as well as the Customer’s reputation and image.
4. Business Members and their Customers shall cooperate defining means and determining procedures to mitigate inherent risks of rendering services.


Article 6
(Relations with Employees)
1. Business Members must comply with all legal applicable obligations, whereas the contract with the co-worker is in force, including those referring to foreign co-workers.
2. Business Members shall offer equal opportunities to all employees and ensure fair and adequate payment to the functions and performance of each individual, rejecting abusive and discriminatory practices, emphasizing equal treatment and gender equality.
3. It is Business Members duty to ensure the best practices on working conditions and service delivery, namely in regard to hygiene, health and safety in every workplace (on the premises or where services are to be rendered).
4. Business Members shall promote their Co-workers human and professional development, namely through constant work-related training, privileged instrument for innovation and development.
5. Aiming to adequately provide outsourcing services, Business Members shall also require its employee’s accuracy and responsibility in carrying out their duties, as well as mutual respect, loyalty and civility in professional relationships, both in and outside the Company.
6. When hiring their Co-workers, Business Members must comply with legal requirements, namely as for ways of establishing a work contract, social security and professional qualification.
7. Business Members must comply with the legislation on privacy and personal data of their employees.



Article 7
(Relations with the Authorities)
1. Business Members shall act with correction and civility in every relation with the Authorities, conveying clear, concise and exact guidelines and principles of their activity.
2. Business Members shall also cooperate with the Authorities whenever requested, particularly contributing towards the disclosure and development of good practices associated with the Outsourcing activity.



Article 8
(Relations with Suppliers and Unaffiliated Companies)
1. Business Members shall select each supplier upon objective criteria, taking into account their quality, integrity, technical excellence and good reputation.
2. Business Members should always disclose and promote Outsourcing and the associated good practices in their relations with suppliers and other unaffiliated companies.



Article 9
1. (Relations between Business Members)1. Business Members shall mutually cooperate unto the Outsourcing development and modernization in Portugal.
2. Business Members must act with fairness, mutual respect and civility towards each of the other Members, especially when competing for the same outsourcing services.
3. Business Members shall abstain from exchanging ideas among themselves about their Customers, namely information respecting a business secret or some sensitive or privileged information.
4. Business Members are allowed to join and establish partnerships among themselves in order to answer to market demands.



Article 10
(Social Responsibility)
1. Business Members shall respect human values and dignity, as well as the preservation of heritage and corporate social responsibility, corporate citizenship, innovation and personal development.
2. Business Members activity shall be conscious, responsible and environmentally respectful, complying with applicable law and, whenever possible, using processes and products that minimize the adverse impact on the environment and refrain from disturbing the well-being of the community.
3. Business Members shall abstain from practices that place, or may put at risk, human dignity, public health and public order.
4. Business Members shall promote responsible communication, governed by the principles of legality, accuracy, objectivity and transparency.



Article 11
(Confidentiality)
1. Business Members must respect the confidentiality of all information, provided by the customer or any third party, and that they listed as confidential, within the scope of outsourcing service delivery, both during the pre-contractual and the contractual periods.
2. Confidentiality referred to in the preceding paragraph shall extend to every Company employee, subcontractors and their co-workers or others who collaborate in the outsourcing service delivery.
3. Business Members shall also keep confidential all the information identified as such, and obtained for the provision of services to be rendered, even when not awarded the contract.


Article 12
(Information Duty)
1. Prior to contract celebration and during the outsourcing service delivery, Business Members must inform the Customer about everything they are aware of and that may affect the appropriate delivery.
2. Whenever requested, Business Members shall provide their Customer with relevant information about the conditions of outsourcing service delivery.
3. Information requested by the Customer to Business Members shall be presented in a complete, accurate and, if required, properly documented way.
